Please read these Terms and Conditions ("Terms") carefully before using the PaceNote mobile application ("App"). By downloading, installing, or using the app, you agree to be bound by these terms. If you do not agree, do not use the app.

1. About PaceNote

PaceNote is a mindful walking application for Android devices developed and operated by PaceNote ("we," "us," or "our"). The app provides timed walking sessions, guided reflection prompts, a voice-enabled journal, and related wellness features.

The app is intended for personal, non-commercial use by individuals aged 13 and older. It is not a medical product and is not intended to diagnose, treat, cure, or prevent any physical or mental health condition.

2. Acceptance of terms

By accessing or using PaceNote, you confirm that:

• You are at least 13 years of age;

• You have the legal capacity to enter into a binding agreement;

• You have read, understood, and agree to these terms and our Privacy Policy;

• If you are under 18, you have obtained parental or guardian consent.

We reserve the right to update these terms at any time. Material changes will be communicated via an in-app notice. Your continued use of the App after changes are posted constitutes acceptance of the revised terms.

3. Free and Pro Tiers

3.1 Free Tier (Wanderer)

The following features are available at no charge:

• Three guided walking sessions: Quick Reset (5 min), Morning Reset (10 min), and Midday Clarity (15 min)

• Full voice and text journal with up to 500 stored entries

• All five visual themes: Forest, Dusk, Ocean, Ember, and Slate

• Five guided reflection prompts

The free tier is provided indefinitely without time limitation and will never display advertisements.

3.2 Pro Tier (Pathfinder)

The Pro tier unlocks additional features via a subscription:

• Three additional guided sessions: Evening Unwind, Deep Focus, and Custom Sessions

• Thirty guided reflection prompts (expanded from five)

• Guided stories — longer narrative walking experiences

• Custom session duration and interval configuration

Pro subscriptions are available at $2.99 per month or $19.99 per year, each with a 7-day free trial. Pricing is displayed in-app before purchase and may vary by region.

3.3 Free Trial

New subscribers receive a 7-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your selected subscription plan will begin and payment will be charged to your Google Play account.

4. Subscriptions and Billing

4.1 Payment

All subscription payments are processed by Google Play Billing. By initiating a subscription, you authorize Google to charge your linked payment method on a recurring basis at the applicable subscription rate.

4.2 Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the renewal date. The renewal charge will be applied within 24 hours prior to the end of the current period.

4.3 Cancellation

You may cancel your subscription at any time through your Google Play account settings (Google Play → Subscriptions → PaceNote). Cancellation takes effect at the end of the current paid period. You will retain Pro access until that date. No partial refunds are issued for unused time within a billing period.

4.4 Refunds

Refund requests are handled exclusively by Google Play in accordance with Google's refund policies. We do not process refunds directly. To request a refund, visit play.google.com/store/account/subscriptions.

4.5 Price changes

We reserve the right to change subscription pricing. Price changes will be communicated with reasonable advance notice via an in-app notification. Your continued use of the Pro tier after the effective date of a price change constitutes acceptance of the new price.

5. Privacy and Data

5.1 No Account Required

PaceNote does not require you to create an account or provide personal information. The app operates without user registration.

5.2 Local data storage

All journal entries, session history, and user preferences are stored exclusively on your device. This data is:

• Never transmitted to our servers or any third party;

• Not backed up to Google Drive or any cloud service;

• Permanently deleted when you uninstall the app.

You are responsible for maintaining your own backups of journal content if desired.

5.3 Microphone access

The voice dictation feature requires microphone permission. Audio is processed on-device by the Android Speech Recognition API and is not recorded, stored, or transmitted by PaceNote. We do not retain any audio recordings.

5.4 Analytics and Advertising

PaceNote does not include third-party analytics SDKs, advertising networks, or tracking libraries. No behavioural data, usage analytics, or advertising identifiers are collected or shared.

5.5 Google Play billing data

Subscription status is verified through Google Play Billing. We receive only your subscription state (active, expired, cancelled) and product identifier. We do not receive or store payment card details or billing addresses.

6. Intellectual Property

6.1 Our Content

All content in the app — including the PaceNote name and logo, session designs, guided prompts, written copy, visual themes, and source code — is owned by or licensed to PaceNote and is protected by applicable intellectual property laws.

6.2 Licence to Use

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the app on Android devices you own or control, for personal non-commercial purposes only, in accordance with these terms.

6.3 Restrictions

You may not:

• Copy, modify, distribute, sell, or sublicense any part of the app;

• Reverse engineer, decompile, or disassemble the app;

• Remove or obscure any proprietary notices or labels;

• Use the app or its content for commercial purposes without our written consent;

• Attempt to extract the source code, assets, or guided session content.

6.4 Your content

Journal entries you create remain your own. By using the voice dictation or text journal features, you retain full ownership of your content. We claim no rights over it and, as stated in Section 5.2, we never access or transmit it.

7. Acceptable use

You agree to use PaceNote only for lawful purposes and in ways that do not infringe on the rights of others. You must not:

• Attempt to interfere with the app's functionality or security features;

• Use automated tools, scripts, or bots to interact with the App;

• Attempt to bypass subscription verification or access Pro features without a valid subscription;

• Use the app in any manner that could damage, disable, or impair its operation.

8. Health and Safety disclaimer

PaceNote is a wellness tool designed to support mindful walking. It is not a medical device, fitness tracker, or therapeutic service. The app does not:

• Monitor your physical health or vital signs;

• Provide medical, psychiatric, or psychological advice;

• Replace the guidance of a qualified healthcare professional.

If you have a medical condition, injury, or health concern that may be affected by physical activity, consult a qualified healthcare provider before using the App. Always walk in safe environments, remain aware of your surroundings, and exercise appropriate caution.

We are not liable for any injury, accident, or health event that occurs while using the app.

9. Disclaimers and Limitations of Liability

9.1 "As Is" Basis

The app is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 No Guarantee of Availability

We do not guarantee that the App will be available at all times, uninterrupted, error-free, or free of viruses or other harmful components. We may modify, suspend, or discontinue the app at any time without notice.

9.3 Limitation of Liability

To the maximum extent permitted by applicable law, PaceNote and its owners, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the app, even if advised of the possibility of such damages.

Our total liability to you for any claims arising under these terms shall not exceed the amount you paid for your most recent subscription period, or $10 USD if no payment was made.

10. Indemnification

You agree to indemnify and hold harmless PaceNote and its owners from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with your use of the App, your violation of these terms, or your violation of any third-party rights.

11. Termination

These terms remain in effect while you use the app. We may terminate or suspend your access to Pro features immediately and without notice if you breach these Terms or if we determine, in our sole discretion, that your use is harmful or unlawful.

Upon termination, the licence granted in Section 6.2 will cease. All provisions that by their nature should survive termination — including Sections 6, 8, 9, 10, and 13 — shall continue to apply.

12. Third-Party services

The app integrates with the following third-party services:

• Google Play Billing — subscription management and payment processing

• Android Speech Recognition API — on-device voice-to-text processing

These services are governed by their own terms of service and privacy policies. We are not responsible for the practices of these third parties.

13. Governing Law and Disputes

13.1 Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. If you are located outside the United States, local mandatory consumer protection laws may also apply.

13.2 Informal resolution

Before filing any formal dispute, you agree to contact us and attempt to resolve the matter informally. We will make good-faith efforts to resolve disputes within 30 days of receiving written notice.

13.3 Binding arbitration

If informal resolution fails, any dispute arising from these Terms or your use of the app shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive any right to a jury trial or to participate in a class action lawsuit.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access.

14. Children's privacy

PaceNote is not directed to children under the age of 13. We do not knowingly collect personal information from children under 13. No data is collected or transmitted by the app; there is no special risk to minors beyond the general health disclaimer in Section 8.

If you are between 13 and 17, you should obtain the consent of a parent or legal guardian before using the app.

15. Changes to the app

We may update, modify, or discontinue features of the app at any time.

In particular:

• Free tier features may be adjusted, though we will not remove features that were previously available to free users without reasonable notice;

• Pro tier content — including guided sessions, prompts, and stories — may be expanded, modified, or replaced over time;

• The app may cease to be available on Google Play, in which case any active subscription will be cancelled, and a prorated refund may be available through Google Play.

16. Severability and Entire Agreement

If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

These terms, together with our Privacy Policy, constitute the entire agreement between you and PaceNote regarding your use of the App and supersede all prior agreements, representations, and understandings.

This app is Not a fitness tracker. Not a meditation app. Something in between — a quiet companion that gives your walk just enough shape to turn twenty minutes of movement into something you'll actually remember. A timed session, a handful of reflection prompts, and a place to write down what surfaced before you lose it.

No account required. No data collected. No notifications demanding your attention. Everything lives on your device and disappears when you choose. PaceNote is a space to think — not a platform to join.
